Terms of Services

These Terms of Service (“Terms”) apply when you use the 0xTribe platform (“Platform” or “Services”) that links or refers to the Terms. These Terms are a legal contract between you and ZERO X AND Pte. Ltd. (“we” or “us”) so it is important that you review them carefully before using the Platform. Your use of the Platform indicates that you agree to follow and be bound terby the Terms. If you do not agree to the Terms, please do not access or use the Platform.

1. General

We may change the Terms or modify any Platform features at any time at our sole discretion. We will ensure you can easily access the most current version of the Terms by posting it on our website. If you continue to use the Platform after changes are posted you will be deemed to have accepted the change.

2. Compliance with Applicable Laws

We make no representation or warranty, express or implied, that the content available in the Platform is lawful in the country you reside and access to the Platform from countries and/or jurisdictions where the content in the Platform is illegal is prohibited. As a condition of your access to and use of the Platform, you agree that you will not use the Platform for any purpose that is unlawful or prohibited by these Terms and that you will comply with all applicable laws and any conditions or restrictions imposed by these terms.

3 . Privacy

We may collect, use and share or otherwise process your information in connection with your use of the Platform. Please refer to our Privacy Policy for more detailed information.

4. Membership Registration

  • To access the Platform, you must register an account with us through your Discord account. Our members are categorized as follows:

    • Scholar (Guild member) – We provide common features to this type of members
    • Guild Manager – In addition to the common features available to the scholars, we provide special features, such as (a) managing scholars and (b) managing NFT assets through generating and integrating digital wallets, to this type of member.

  • All newly joined members can decide to be a scholar or guild manager by joining the existing guilds or creating new guilds. If you have created a guild, please contact us to use the dashboard more smoothly. At this stage, we may require additional information about you and your guild, and we, at our sole discretion but subject to our internal policy, determine whether to process your request.

  • Guild managers may create and grant an email account and wallet address for gameplay to each scholar and such information must be disclosed to the Platform through a designated process of the Platform.

  • We do not provide services to minors. If you are minor in the jurisdiction you reside in, please do not attempt to create an account with us, unless you have obtained consent from your parents / legal guardians. If you wish to create an account with us after obtaining parental consent, please contact us separately, and we will review your request and process as deemed necessary and appropriate.

5. Prohibited Conduct

  • You may not access or use or attempt to access or use, the Platform to take any action that could harm us or any third party, interfere with the operation of the Platform, or use the Platform in a manner that violates any applicable laws. For example, and without limitation, you shall not:

    • Register an account with us using personal data of third parties;
    • Disguise yourself as our employee or someone related to our employee;
    • Collect, use, and store personal data of other users without their authorization;
    • Engage in any other conduct that restricts or inhibits any other person from using the Platform;
    • Attempt to decipher, decompile, disassemble, or reverse-engineer any of the service algorithms or sources codes;
    • Access parts of the Platform to which you are not authorized or attempt to circumvent any restrictions imposed on your use or access of the Platform;
    • Use or attempt to use any device or mechanisms to interfere with the proper working of the Platform or any activity conducted on the Platform; and
    • Transmit or make available for using any software that is malicious, disruptive to business, or invasive, including but without limitation, viruses, time bombs, adware, worms, and any other unauthorized software.

  • You shall not share or disclose your login and digital wallet credentials with any other user or person. If you ever learn that your login credentials are stolen or used by other people, please contact us immediately and follow our instructions.

  • You have access to your personal data and may revise it at any time using certain functions within the Platform. You also provide us with certain information during the registration process, which you agree to keep accurate and updated.

  • You shall not post, text, distribute, or otherwise share with any other person on the Platform, any content that is prohibited by or otherwise not in compliance with the terms below:

    • Any content that promotes or contains content or activity that is false, defamatory, deceptive, hateful, obscene, sexually explicit, violent (including the use of firearms), discriminatory (including race, nationality, age, disability, gender, religion, and sexual orientation), harmful, invasive of another’s privacy, threatening, abusive, offensive, or harassing.
    • Any content that contains, links to, uses, or otherwise causes the downloading of any malicious code and/or rogue programs.
    • Any content that actually or potentially interferes with our or any third party’s intellectual property.
    • Any content that is commercial in nature.
    • Any content that may interfere with or hamper the proper working of the Platform.
    • Any content that is not in compliance with these Terms and other operational terms of the Platform.
    • Any content that is not in compliance with the applicable laws

  • You agree and acknowledge that we may, at our sole discretion, (i) temporarily or permanently suspend your account on our Platform for any violation of these Terms and other operational policies of the Platform; and (ii) modify, remove and/or restore your posting or any other form of contribution to the Platform.

6. Intellectual Property

  • We have, or have rights to use, all patents, patent applications, trademarks, trademark applications, service marks, trade names, trade secrets, inventions, copyrights, licenses, and other intellectual property rights and similar rights in connection with the Platform.

  • No license under patents, copyrights, or any other intellectual property right (other than the limited license to use consistent with the terms, conditions, and restrictions of these Terms) is granted by us, or shall be implied or arise by estoppel with respect to any transactions contemplated under these Terms.

  • Except for content you have posted on the Platform, or unless expressly authorized by us in writing, you are strictly prohibited from publishing, distributing, publishing, reproducing, displaying, modifying, creating derivative works, transmitting, or in any way exploiting any part of the content in the Platform.

  • You agree and acknowledge that we may collect and use your postings and/or any data in connection with your in-game progress solely to improve the service quality of our Platform. For all other purposes, we will make sure that we anonymize the data prior to any use.

  • You agree and acknowledge that we are entitled to use names, logos, symbols, trademarks, and/or service marks of your guild for marketing and promotional purposes.

  • The provisions of this Section (Intellectual Property) shall continue in full force and effect notwithstanding any termination, expiration, or cancellation of these Terms.

7. Termination

  • You may request an account termination at any time, and we will process your request as soon as practicable.

  • Your account is deemed terminated after your request under 7.1 is processed or if your account is suspended subject to Section 5.

  • After termination of your account, you lose all your rights to access any of your activity history, posting, etc. We, however, may retain such information and/or data to the extent permitted or required by the applicable laws.

8. Disclaimer of Warranties.

WE UNDERTAKE NO RESPONSIBILITY FOR AND DISCLAIM ALL LIABILITY ARISING FROM, ANY INABILITY OF YOU OR OTHER USERS TO ACCESS THE PLATFORM. WE PROVIDE ACCESS TO THE PLATFORM ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND MAKE NO REPRESENTATION, WARRANTY, PROMISE, OR GUARANTEE THAT THE PLATFORM WILL BE AVAILABLE OR FULLY OPERATIVE AT ANY TIME OR ON AN UNINTERRUPTED OR ERROR-FREE BASIS. THE PLATFORM MAY CONTAIN ERRORS, GLITCHES, BUGS, OR OTHER DEFECTS, AND YOU UNDERSTAND AND ACKNOWLEDGE THAT YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDIES IN THE EVENT OF YOUR DISSATISFACTION WITH THE PLATFORM ARE FOR YOU TO NOTIFY US ABOUT YOUR DISSATISFACTION, IN WHICH CASE WE WILL REVIEW THE COMPLAINT WITH OUR TECHNICAL EXPERTS, AND/OR TO STOP USING THE PLATFORM.

9. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF (A) THESE TERMS, THE PLATFORM OR THIRD PARTY GAMES; (B) ANY FAILURE OF PERFORMANCE, ERRORS, BUGS, SYSTEM FAILURES AND/OR INTEGRATION FAILURE RELATING TO YOUR DIGITAL WALLETS PROVIDED BY US OR ANY OTHER THIRD PARTIES; (C) USER ERRORS SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUED SMART CONTRACTS OR OTHER TRANSACTIONS; (D) LOSS OF VALUE, PRICE FLUCTUATION AND/OR HIGH PRICE VOLATILITY OF ANY TANGIBLE OR INTANGIBLE ASSETS INCLUDING ANY DIGITAL ASSETS PROVIDED BY US OR ANY OTHER THIRD PARTIES; (E) ANY DISPUTES, LEGAL ACTIONS AND/OR PROCEEDINGS BETWEEN OR AMONG YOU AND OTHER PERSONS USING THE PLATFORM; AND (F) ANY FORCE MAJEURE EVENTS INCLUDING ACTS OF GOD, STRIKES, WARS, TERRORIST ACTIVITIES, POWER OUTAGES, MATERIAL CHANGES IN CIRCUMSTANCES OR LAWS, REGULATIONS OR INTERPRETATIONS OF THE SAME AFFECTING ANY OF OUR OBLIGATIONS HEREUNDER, OTHER CAUSES BEYOND OUR REASONABLE CONTROL.

THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify and hold harmless us and our parents, subsidiaries, affiliates, directors, officers, employees, shareholders, agents, and licensors, from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of the Terms, or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this Section. In such event, you shall provide us with such cooperation as is reasonably requested by us.

11. Miscellaneous

  • These Terms shall be governed by the laws of Singapore. By using the Platform, you waive any claims that may arise under the laws of other jurisdictions. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this Section.

  • In connection with your access or use of the Platform, you may be asked to consent to policies or terms and conditions in addition to these Terms. Please read these supplemental policies and terms carefully before making any use of such portions of the Services.

  • Unless otherwise specified herein, the Terms constitute the entire agreement between you and us and govern your access or use of the Platform. If any portion of the Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.
